In consideration of you disclosing confidential information specific to the above-mentioned business to me/us, we agree and undertake that:

1. I/We will hold and keep as strictly confidential, all the “confidential information” provided to us, orally or in writing, and acknowledge that this information is the absolute property of the person/company supplying it, except, insofar as the same may be or become information in the public domain.

2. “Confidential Information” without limitation refers to information relating to methods of operation, services, financial information, books of accounts, budgets, cash flows, balance sheets, valuations, contracts, contractual obligations and benefits, documentation procedures, marketing strategies, plans, trade secrets, client lists, designs, activities, supplier’s agents, subcontractors of the owner or any related party.

3. I/We undertake that none of this confidential information will be disclosed to any other party unless this party is specifically required to have access to all or some of this information to assist me/us in the assessment of the business/investment being investigated.

4. Should any disclosure be required to another party, such party will execute a confidentiality agreement on the same terms and conditions of this agreement, prior to any such disclosure.

5. If no purchase or investment is made as a result of the investigation being undertaken by us then all confidential information and copies/notes/extracts pertaining to this confidential information will immediately be returned and its confidential contents will forever remain confidential provided always that the undertakings under this confidentiality agreement will remain in force without time limitation.

6. I/We agree that these obligations of confidentiality imposed upon me/us are in addition to those implied under the general law relating to the breach of confidence and that the obligations shall be continuing ones and shall continue whether or not there are negotiations between us and whether or not there is any agreement entered into as a result.
